1. Services Overview
1.1 System Deployments
Hot Foot Coffee (HFC) provides branded espresso system deployments for corporate clients.
Each deployment may include:
Espresso system sourcing
Brand integration
Packaging and collateral
Fulfillment and delivery
All services are delivered as a complete, packaged system, not as individual components.
1.2 Coffee Supply Programs
HFC offers ongoing coffee supply services on a recurring basis.
Programs may include:
Locally roasted coffee supply
Scheduled delivery (weekly, monthly, or custom)
Inventory coordination
Supply programs are structured based on client requirements and agreed delivery schedules.
2. Service Terms
2.1 Deployment Terms
A 50% deposit is required to initiate production
The remaining balance is due prior to final delivery
Timelines begin once deposit and required materials are received
Lead times vary depending on quantity and customization
2.2 Supply Terms
Supply programs are billed on a recurring basis (monthly or as agreed)
Delivery schedules are defined in advance
Minimum volumes may apply depending on program structure
Adjustments to volume or frequency require notice prior to the next billing cycle
3. Scope of Work
All services are delivered as part of a structured deployment or supply program.
HFC does not provide standalone services such as:
Individual product sales without deployment context
Unbundled branding or design services
4. Client Responsibilities
Clients are responsible for:
Providing accurate branding assets and approvals
Confirming quantities, delivery details, and timelines
Ensuring availability for approvals during production
Reviewing deliverables upon receipt
Delays in communication may impact timelines.
5. Branding & Customization
Branding is applied based on approved assets provided by the client
Final production is executed according to approved mockups or specifications
HFC is not responsible for errors in approved materials
6. Fulfillment & Delivery
Delivery timelines are estimates and may vary based on logistics
HFC is not responsible for delays caused by third-party carriers
Risk transfers to the client upon delivery
7. Coffee Supply
Coffee is sourced through local vendors and delivered fresh
Supply consistency is maintained, though minor variations may occur due to sourcing
Clients are responsible for proper storage upon delivery
8. Payment Terms
8.1 Deployments
50% deposit required to begin
50% balance due prior to delivery
Late payments may delay fulfillment
8.2 Supply Programs
Recurring billing based on agreed schedule
Late or failed payments may pause deliveries
9. Intellectual Property
Clients retain rights to their brand assets
HFC retains rights to internal processes, systems, and methodologies
HFC may use completed work for portfolio and marketing purposes
10. Cancellations & Changes
10.1 Deployments
Orders may not be cancelled once production has begun
Changes to scope may impact pricing and timelines
10.2 Supply Programs
Cancellation requires notice prior to the next billing cycle
Active orders already processed will be fulfilled
11. Limitation of Liability
HFC’s liability is limited to the value of the services provided
HFC is not responsible for indirect or consequential damages
No guarantee is made regarding specific business outcomes
12. Confidentiality
HFC maintains confidentiality of all client information and project details unless otherwise authorized.
13. Governing Law
These terms are governed by the laws of Ontario, Canada.
